| NTT DATA Corp acquires majority stake in Vertex Software |
|
Pune, November 15, NTT DATA Corporation, a listed subsidiary of Nippon Telegraph and Telephone Corporation and the largest IT services company in Japan is all set to acquire a majority stake in Pune based Vertex Software Pvt. Ltd., a company engaged in product development, mobile applications and web applications development. |

A definitive agreement in this regard has already been signed between the two companies. This was announced by Shinichi Yamada, Chief Technology Officer and Executive Vice President, NTT DATA Corporation in a Press Conference held here today.
|
|
NTT DATA will now acquire 68.7% of outstanding equity of Vertex and the balance will remain with founders and senior executives of Vertex. Mitsui & Co. Ltd. of Japan and Logicsoft Inc of USA, the companies that had initially invested in Vertex will now transfer their share to NTT DATA Corporation. Board of Directors of both these companies has approved this transaction and the completion of regulatory approvals and equity transfer process is expected to get over by December 11, 2007.

Post this transaction, Vertex would continue to operate independently but would be positioned as an 'NTT DATA Group Company'. These two will jointly execute a Business Plan that entails growth in provisioning of IT Services to existing and new customers in US, Japan and also to NTT DATA itself. |

By the end of financial year 2009, NTT DATA plans to have 2000 offshore based personnel. Vertex plans to expand its workforce from the existing team of 205 and be a significant group company of NTT DATA offering offshore based IT services. Majority of personnel would be recruited from the reputed engineering colleges from in and around Pune. These candidates will undergo a 6 months training to develop their technical and language skills and would then be absorbed in Vertex. |

For Vertex Software, its association with NTT will fuel its expansion plans, allowing it to increase and upgrade its office infrastructure in Pune. Currently it has offices in Pune, Tokyo in Japan and Boston in USA. Vertex Software will work in close association with NTT DATA group companies in US and Europe leading to expanded geographical reach and increase in revenues. |

Vertex Software Pvt. Ltd., Pune, today announced that it is now ISO/IEC 27001:2005 certified for its Information Security Management System (ISMS). The organization was certified by Bureau Veritas Certification (BVC) and formally accredited by United Kingdom Accreditation Service (UKAS). |

The assessment was conducted by lead auditors Mr. Rajendra Shirvekar and Mr. Ganesh Pai from BVC. Mr. Shirvekar noted "Vertex Software has been found compliant with the ISMS International standard ISO/IEC 27001:2005 with scope as "Management of Information Security System Applied to Design, Development & Maintenance Of Software Solutions".

| Vertex Software Achieves SEI CMM LEVEL 5 - the Highest Level Of Software Quality Recognition. |
Vertex Software Pvt. Ltd., Pune, today announced the achievement of Level 5 (Optimizing Level), the highest possible through an assessment on the Capability Maturity Model (CMM) conducted by KPMG. Vertex has joined the elite list of organizations with the distinction of having the highest quality rating - Level 5 (Optimizing Level) of the SEI's Capability Maturity Model for its software development services.
Capability Maturity Model (CMM) instituted by the Software Engineering Institute of Carnegie Mellon University, USA, is one of the most sought-after global quality assessment institutes in the software industry. The CMM ratings that range from Level 1 to Level 5, which are awarded after exhaustive evaluation involving analysis and review of software development capabilities, processes and products, help buyers determine reliable and low-risk suppliers of software products and services. Fewer than this number needs to be validated in the world have been assessed at a CMM Level 5 rating.
The assessment was conducted by assessment team led by Mr. Kamlesh Kothari from KPMG. Mr. Kothari noted “Vertex Software, Pune development facility has been assessed at the CMM Level 5 with scope as Software Development and Maintenance projects. This is a significant step and would help Vertex Software demonstrate its process capability during execution of software development projects”

Vertex Software Pvt. Ltd., Pune, today announced a strategic partnership with Logic Soft Inc. involving equity participation. Logic Soft is a specialist software consulting company focused on Enterprise Applications and Enterprise Reporting services for Fortune 100 clients in BFSI, Utility, Manufacturing and Telecom domains in the US. Logic Soft will invest in 5% of Vertex equity with total enterprise valuation pegged at Rs 21.5 Crores. The FDI that Logic Soft Inc. will bring into Vertex will amount to Rs 1.02 Crores. |

| Vertex launches Japanese language training program for its staff |
|
Japanese language training program will help Vertex service its large SI clientele in Japan.
Vertex, an international IT consulting company, announced the launch of the Japanese language training program.
It will be a full time 6 month program, which is open to any employee from a software engineer to the project manager. Each program accormodates 20 candidates and is being managed by professional Japanese trainers. The training, besides the language aspect will also delve into the unique cultural and business aspects of Japan as its zero defect expectation, supplier-vendor relationships and cultural issues. At the end of the training, the engineers will have cleared the Sankyu level exam.
Viraj Wagholkar, Manager, HR of Vertex Software, said, “Vertex is uniquely position for rapid growth in Japan. Its services have been tested by large SI companies in Japan. There is tremendous demand for offshore services from the Japanese market. So far a big constraint has been the lack of Japanese speaking software engineers. Vertex, an international IT consulting company, announced the launch of CMM L5 certification effort and selection of KPMG as its lead assessor. The capability maturity model (CMM) certification established by Software Engineering Institute (SEI) of Carnegie Mellon University would be a added validation of Vertex’s quality standards.
